Terms of Service
These Terms of Service (the "Terms") govern the use of the Plus Up platform (the "Service") provided by [LEGAL ENTITY NAME], licence [TRADE LICENCE NO.], Umm Al Quwain Free Trade Zone, [REGISTERED ADDRESS], Umm Al Quwain, United Arab Emirates ("Plus Up", "we", "us"). They form a binding agreement between us and the school or educational institution that subscribes to the Service (the "School", "you"). By creating a school workspace, signing an order form, or using the Service, the School agrees to these Terms, the Data Processing Agreement and the Privacy Policy.
1. The Service
Plus Up is a cloud platform for school operations: timetables, attendance, hall passes, gradebooks and term grades, course content and assignments, behaviour records, lesson planning, meetings, announcements and messages, and the files that go with them. Each School runs in its own isolated workspace. We may improve or change features over time; we will not remove a core function during a paid term without reasonable notice.
2. Accounts and users
- The School's administrator creates and manages accounts for its staff, learners and guardians, and assigns each person a role. Roles decide what a person can see and do.
- The School is responsible for deciding who may have an account, for confirming or refusing parents' requests to be linked to learners and removing links that should end, for keeping sign-in details confidential, for promptly recording in the Service the staff and learners who leave, and for everything done through its accounts.
- Every user must keep their password private. Two-step verification is available to every user and is mandatory for platform owners.
- We may suspend an account that is used to attack the Service, to access data without authorisation, or in breach of these Terms, and we will tell the School when we do.
3. Trial
A new School may use the Service free of charge for a trial of 14 days and up to 50 learners. The trial ends automatically. Data entered during the trial is kept and becomes part of the paid subscription if the School subscribes before the trial and the following grace period end; otherwise it is deleted as described in section 9.
4. Subscription, fees and payment
- The Service is sold as an annual subscription per School. Plans: Standard (up to 1,500 learners) and Premium (unlimited learners). The plan, price, start date and any special terms are set out in the order form or quotation the School accepts.
- Fees are payable in advance, by bank transfer against our invoice or, where the School chooses it, by card through our payment provider Stripe. Prices exclude VAT; VAT is added where applicable under UAE law. The School is responsible for any bank charges on transfers.
- Fees are non-refundable, except where these Terms or the law say otherwise.
- If a payment fails or an invoice is unpaid when due, the School keeps full access for a grace period of 7 days. After that, access is paused until payment is received. Data is not deleted because of a paused subscription; section 9 applies only after termination.
- We may change the price for the next term by notice at least 60 days before renewal.
5. Acceptable use
The School and its users must not: use the Service for anything unlawful; upload malware or content that infringes another person's rights; attempt to access another school's data or any part of the Service they are not authorised to use; probe, scan or test the security of the Service without our written permission; copy, resell or build a competing product from the Service; or use automated tools to extract data except through features we provide for that purpose. The School will ensure its users follow these rules and its own policies on safeguarding and the use of learner data.
6. School data
- All data the School and its users put into the Service ("School Data") belongs to the School. We claim no rights in it beyond what we need to run the Service.
- We process School Data only to provide, secure and support the Service, in line with the Data Processing Agreement and the School's instructions. School Data is hosted in Microsoft Azure data centres in the United Arab Emirates (UAE North, Dubai, with geo-redundant backups in UAE Central, Abu Dhabi) and does not leave the country.
- The School is the data controller. It is responsible for having a lawful basis for the data it enters, for collecting any consents required from guardians and staff, and for meeting the requirements of its regulator (for example KHDA, ADEK, SPEA or the Ministry of Education), including record-retention rules.
- The School can download its data at any time with the Service's export features (learners and parents' contacts, attendance, behaviour reports, gradebooks and term grades, and a learner's whole record) and may ask us for a full export (a ZIP file with every record as CSV files), which we provide within 30 days. Records the School cannot delete itself, such as a learner's complete record, are deleted by us on the School's written request within 30 days, unless the law requires them to be kept.
7. Our commitments
- Availability. We aim for 99.5% monthly availability of the Service, excluding planned maintenance announced at least 48 hours in advance (normally outside UAE school hours) and events outside our reasonable control.
- Support. Support is provided by email at support@plusup.net on working days, Monday to Friday, 09:00 to 18:00 UAE time, with a first response within one working day. Incidents that stop the whole School from using the Service are handled as a priority.
- Security. We maintain the technical and organisational measures described in the Security and Compliance Overview, including encryption in transit and at rest, isolation of each School's data, access logging and daily backups.
- Updates. Improvements are released continuously and are included in the subscription.
8. Intellectual property and confidentiality
The Service, its software, design and documentation are owned by us or our licensors. The School receives a non-exclusive, non-transferable right to use the Service for its own educational and administrative purposes during the subscription. Suggestions the School gives us may be used to improve the Service without obligation. Each party will keep the other party's confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.
9. Term, renewal and termination
- The subscription runs for 12 months from its start date and renews for successive 12-month terms unless either party gives written notice of non-renewal at least 30 days before the end of the current term.
- Either party may terminate this agreement if the other materially breaches it and does not remedy the breach within 30 days of written notice. We may also terminate immediately if the School's use threatens the security of the Service or other schools.
- On termination or expiry, including the end of a free trial that is not followed by a subscription: access to the workspace ends, except that the School's administrator can still download its learners, parents' contacts and each learner's record from the billing page; the School has 90 days to download its data, to ask for a full export or to renew; unless it renews, School Data, including its stored files and its audit log, is deleted automatically from the live systems at the end of those 90 days, and every remaining copy leaves the backups within a further 35 days. We may keep records we are legally required to keep (for example invoices) and anonymised statistics.
10. Warranties and liability
- We provide the Service with reasonable skill and care. Except as stated in these Terms, the Service is provided without other warranties, and we do not promise that it will be free of all errors or interruptions.
- Neither party is liable for indirect or consequential loss, loss of profits or loss of goodwill.
- Our total liability to the School under this agreement in any 12-month period is limited to the fees the School paid for the Service in that period.
- Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited under the laws of the United Arab Emirates.
11. Changes to these Terms
We may update these Terms. We will give the School at least 30 days' notice of material changes by email or inside the Service. Continued use after the change takes effect means the School accepts the updated Terms. If the School does not accept them, it may terminate at the end of the notice period and we will refund any prepaid fees for the unused part of the term.
12. General
These Terms, the order form, the Data Processing Agreement and the Privacy Policy are the whole agreement between the parties. If any part is unenforceable, the rest remains in force. Neither party may assign the agreement without the other's consent, except that we may assign it to a successor of our business on notice. Notices are given by email to the addresses on the order form.
13. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The parties will first try to resolve any dispute amicably within 30 days of written notice. Any dispute not resolved that way is subject to the exclusive jurisdiction of the courts of Dubai.
